Detailed Description

Your Role
 
As a member of our Finance & Legal department reporting to the CFO, the Legal Counsel will work to identify and address legal and compliance issues in the company’s day-to-day operations, draft and negotiate commercial and financing agreements, and support efforts toward becoming a publicly listed-company. The Legal Counsel will be comfortable handling US legal matters in an international context and will embody and actively foster a highly effective, sustainable and inclusive culture at FINN.
 

Your Responsibilities

      • Support the expansion of FINN’s vehicle subscription model in the US: You will provide legal support to a US organization that has launched vehicle subscription operations in six states and the District of Columbia and will expand to more states before year-end 2022. You will work with outside counsel to identify and comply with applicable State and Federal laws as well as best practices relevant to the business, and will undertake registrations and filings as required.
 
      • Review and negotiate commercial and financing  agreements: You will play a central role in reviewing and negotiating agreements, including SaaS elements, with commercial parties that support the company’s US operations, ranging from purchase agreements for vehicle fleets to service contracts for vehicle transport, service and inspection.  You will , together with outside counsel, own our customer-facing agreements in line with regulatory requirements and established industry practices. In connection with financing activities, you will advise on equity and debt capital transactions as the company evolves.
 
      • Partner with the  business: You and your team are responsible to introduce a structured feedback process, ensure coherence of career steps, titles and salary structure across all positions. You are responsible for setting up and executing all people management processes as lean and fast as possible. Moreover, you will act as a trusted advisor to our senior management in all  people-related matters.
 
    • Support and develop our compliance function: You will help to implement best practices, processes and tools to ensure full compliance with the latest regulations and internal policies, and design compliance programs and policies to maintain proper controls and mitigate risk.

    • U.S. lawyer with 3-7 years of experience in a top-tier law firm or in-house at a start-up / early stage company
    • JD and admission to a state bar required
    • Previous experience in general corporate matters and contracting is a must. A background in the automotive or FinTech industries, as well as experience in financing, M&A, or litigation would be a plus
    • Excellent multi-tasking and prioritization skills, with a proven ability to manage multiple parties and projects in parallel
    • Strong willingness to “roll up sleeves” and take on regulatory topics, filings and administrative matters
